Do Fiduciary Duties of Mangers and Members of Limited Liability Companies Exist as with Majority Shareholders of Closely Held Corporations?

This article examines the state of enforceable fiduciary duties among managers and members of limited liability companies in Delaware, New York, Massachusetts, California, and Illinois and compares those duties – both statutory and common law to shareholder fiduciary duties enforceable in those same five states.

[1] Mr. Madden holds a BA from Trinity College, MA from New York University and JD from Northwestern University School of Law.  He is an Adjunct Professor of Law at Northeastern University School of Law and an active member of the Massachusetts, New York and Rhode Island Bars.
