The debate essentially started with an influential article by Professor Ronald Gilson, who characterized business lawyers as “transaction cost engineers.” These engineers optimize the costs of a transaction, he argued, by helping contracting parties efficiently break negotiation stalemates, thereby creating more valuable deals.
