The purpose of corporate governance is to achieve a responsible, value oriented management and control of companies. Corporate governance rules promote and reinforce the confidence of current and future shareholders, lenders, employees, business partners and the general public in national and international markets. Corporate governance has evolved and grown significantly in the last decade. Numerous countries have issued corporate governance codes, and the recommendations of these codes, that typify "good" corporate governance, undoubtedly contribute towards increased transparency and disclosure. By striving for better governance, firms are able to reduce their cost of capital, mitigate risk, enhance investors’ confidence and enhance corporate valuation.
