Abstract

This Article examines the need to invigorate the role of the in-house legal advisor from ‘mere legal technician’ to simultaneous legal advisory gatekeeper and ethical steward at client-business organizations. This article asserts that the often-acquiescent in-house legal advisor as ‘mere legal technician’ is partially culpable for the executive misconduct scandals that have undermined 21st Century business enterprise, multiple stakeholder interests, public trust and global investor confidence. This essay seeks to transform contemporary thinking about the role of the in-house legal advisor in ethical culture and governance at client-business organizations, incorporating both problem analysis and values and conduct-centered solution. This article will open new avenues in a longstanding debate concerning the role of in-house counsel in ethical culture and governance, the need for more pronounced ethical stewardship among in-house attorneys, and the key transcendent characteristics in-house legal advisory gatekeepers must display as ethical stewards in client-business organizations. This article is a legal ethics analysis that will be of substantial utility and interest to all scholars of corporate law, legal ethics, ethical business cultures, corporate governance and regulatory compliance.
