About Megan Wischmeier Shaner

Professor Shaner teaches Business Associations, Contracts, Corporate Drafting, and Unincorporated Business Entities. Her scholarly interests lie in the areas of business associations (corporations, agency and partnerships, alternative entities), corporate governance, mergers and acquisitions, and transactional law.

A member of the Delaware Bar, Professor Shaner has authored articles in the William & Mary Law Review, Boston College Law Review, U.C. Davis Law Review, George Mason Law Review, The Journal of Corporation Law, The Business Lawyer, and other leading journals.  She is also the author of chapters in each of the Research Handbook on Mergers & Acquisitions and the Research Handbook on Representative Shareholder Litigation.

Professor Shaner serves on the Corporate Laws Committee of the American Bar Association and on the National Business Law Scholars Conference Board. She has also served on the AALS Business Associations Executive Committee and the AALS Transactional Law & Skills Executive Committee, including serving as Chair of the Transactional Law & Skills Section.

Prior to joining the OU College of Law faculty, Professor Shaner was an attorney at Richards, Layton & Finger, P.A., in Wilmington, Delaware. While in private practice, Professor Shaner focused on litigation, as well as advisory and transactional matters, relating to Delaware corporations and alternative entities. Professor Shaner advised and represented corporations, officers, directors, board committees, stockholders and investors on matters involving the Delaware General Corporation Law and related issues of fiduciary duty arising in a wide variety of transactional and operational contexts, including mergers, acquisitions, divestitures, defensive planning, capital-raising transactions, and stockholder meetings.

Professor Shaner earned her bachelor's degree from Drake University, and juris doctor degree from the University of Iowa College of Law, where she served as an editor of the Iowa Law Review.
