Honest Services Update: Director's Liability Concerns After Skilling and Black

Abstract

Honest services law was redefined by the Supreme Court in 2010 to include only bribery and kickbacks. As a result, there has been a seismic shift in the landscape of director liability. This paper explores honest services law, the effect that the Supreme Court cases had on it, and the state of current director liability.
