Chinese Independent Director Mechanism under the Changing Macro Political-Economic Settings: Review of Its First Decade and Two Possible Models for the Future

Abstract

This article discusses the experiment of the independent director mechanism in Chinese corporate law. Accompanied by the introduction of the independent director mechanism, the macro political-economic environments have faced a dramatic change. In this article, I first describe the introduction, and then analyze the background and structural changes in the landscape of corporate governance in China and how these changes respond to the advent of independent director mechanism. Last, I provide an account of the possible future development of the independent director mechanism in China.
